Kickin’ It Back Opening Act Contest

By entering the Contest, you agree to be bound by these Official Rules and to comply with all applicable federal and state laws and regulations.  Void in Arizona, Louisiana, Iowa, North Dakota and where prohibited by law.

1.    ENTRY PERIOD. The Contest begins at 12:01 am Pacific Time (“PT”) on July 30, 2014 and ends at 11:59 pm PT on December 31, 2014. All entries must be received by 11:59 p.m. PT on December 31, 2014.

2.    ELIGIBILITY. Contest is open to legal residents of the 48 contiguous United States and the District of Columbia (except residents of Arizona, Louisiana, Iowa, and North Dakota), who are at least 18 years old and are members of a band (either solo or a band of multiple members, up to four (4) people) (a “Band”) and are 18 year of age or older at the time of entry.  The Band must designate one individual member of the Band as the leader (“Band Leader”) for contact purposes.  The Band Leader shall be responsible for submitting the Entry on the Band’s behalf in which all official members of the Band will be listed and for obtaining all Band members’ signatures on any releases or documents that Sponsor may require. For purposes of these Official Rules, the Band Leader is also considered a member of the Band.  The Band Leader’s submission of entry constitutes agreement of these Official Rules by all Band members. If an Entry is submitted by a Band composed of more than one individual, each individual member of the Band must meet the eligibility requirements set forth herein.  The term “Entrant” as used in these Official Rules refers to each eligible Band member and the Band that submits an entry. Employees of Blue Sky Riders LLC (“Sponsor”) and its parent, subsidiaries, affiliates, participating promotion and advertising agencies, and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win.

3.    HOW TO ENTER.  During the Contest Period, the Band Leader must visit www.blueskyridersband.com (the “Website”), click on the Contest link to be redirected to www.sonicbids.com (the “Contest Site”) and complete an official entry form in accordance with the on-screen instructions (the “Entry Form”).  Paid membership to SonicBids is required to enter.  Your membership will be activated immediately. Sonicbids members can cancel their account at any time and it will have no bearing on any active Contest entries. Entry must include submission of a link to a video that includes a performance of the Band’s one (1) original song (the “Video”).  Entry Form and Video shall be collectively referred to as the Entry.  Video requirements are set forth below.   Limit one (1) Entry per individual, regardless of whether Band is a single individual or composed of more than one individuals.

4.    ENTRY SUBMISSION REQUIREMENTS.  All Entries must meet the following requirements to be eligible:

a.    Videos must be submitted through www.Sonicbids.com in accordance with these Official Rules and in accordance with the on-screen instructions.
b.    Video must not exceed four (4) minutes in length.
c.    The song in the Video must be in English.
d.    Video, including, without limitation, name of Band, song and performance, must not contain any content that is lewd, obscene, sexually explicit, pornographic, disparaging, defamatory, libelous, obscene, or that otherwise contains inappropriate content or objectionable material as determined by Sponsor in its sole and unfettered discretion.
e.    The Video, including, without limitation, the Band’s name, song and performance, must be the Band’s original work, created solely by the Band, and must not infringe the copyright, trademark, privacy, publicity, or other intellectual rights of any person or entity.
f.    Band Leader is responsible for obtaining, prior to submission of Entry, all releases and consents necessary from Band members to permit the exhibition and use of the Video by Sponsor as set forth in these Official Rules.  No one other than official members of the Band may be in the Video.
g.    The Entry must not contain any personally identifiable information of any person other than members of the Band.  Should the Entry include personally identifiable information about members of the Band in the Entry, Entrant acknowledges and agrees that such information will be disclosed publicly and Entrant is solely responsible for any consequences thereof.
h.    Entrants may not be, nor may they work with parties in conjunction with their Entry, who: 1) are represented under contract (e.g., by a talent agent or manager) that would limit or impair Sponsor’s ability to display the Video in any media form; 2) have an acting or modeling contract that would make their appearance in the Video a violation of any third party rights; or 3) are under any other contractual relationship, including but not limited to guild and/or union memberships, that may prohibit them from participating fully in this Contest, or from allowing Sponsor to use the Video as set forth hereunder.
i.    The Entry must not contain any commercial content or logos, except those owned by the Band.
j.    The Entry may not have been previously published and may not have any won previous awards.

By submitting an Entry, the Band agrees that the Entry conforms to these Official Rules and that Sponsor, in its sole discretion, may disqualify an Entry for any reason at any time, including if it determines, in its sole discretion, that an Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by Sponsor, in its sole discretion.
By submitting an Entry, the Band hereby grants permission for the Entry to be posted on www.blueskyridersband.com, www.sonicbids.com, and any other social media site, app or any other website. The Band agrees that Released Parties (as defined below) are not responsible for any unauthorized use of Entries by third Parties.  Released Parties do not guarantee the posting of any Entry.  The Band agrees that it will not use the Entry for any other purpose, including, without limitation, posting the Entry to any online social networks other than in accordance with these Official Rules without the express written consent of Sponsor in each instance.

5.    JUDGING. All eligible Entries received by Sponsor will be judged by Sponsor selected representatives who will select between four (4) and six (6) Entries (“Finalists”) for consideration based on the following equally weighted categories: originality, creativity, musicality and presentation.  Sponsor reserves the right to select less than four (4) Finalists if it decides in its sole discretion there are not a sufficient number of qualified Entries.

6.    PUBLIC VOTING. The Finalists’ Entries will be placed on the Website on March 31, 2015 for a period of thirty-one (31) days for the public to view and vote (“Vote”) for his/her favorite Entry.  Each person who intends to place a vote must first sign up for Sponsor’s email list on the Website in accordance with the on-screen instructions.  Voting is subject to the Voting Terms and Conditions, which can be found at https://blueskyridersband.com/voting-terms-conditions. A Band is prohibited from obtaining Votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, as determined by Sponsor in its sole discretion. Votes are limited to one Vote per day, per person, per email address.  A “day” is understood to mean 12:00am PT through 11:59pm PT. Votes generated by script, macro or other automated means or which subvert or impair the integrity of the voting process will be void.  Any attempt by a Voter or any other individual to exceed the limited number of Votes, shall give the Sponsor the right to void the Votes in question and/or disqualify the Band, at its sole discretion.  Dates of voting are subject to change at Sponsor’s sole discretion.

In the event of a tie, the Entry among the tied Entries with the highest score according to the judges will be declared the potential winner.  If a tie still remains, the Entry among the tied Entries with the highest score in musicality will be the potential winner.  If a tie still remains, the Entry among the tied Entries with the highest score in presentation will be the potential winner.  Sponsor reserves the right not to award all prizes if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries.  Prize awards are subject to verification of eligibility and compliance with these Official Rules.  A winner is not an official winner until such eligibility and qualification process is complete and official winner is notified.

7.    WINNER NOTIFICATION.  Sponsor’s decisions are final and binding on all matters relating to this Contest.  Band Leader of the winning Band will be notified by telephone, mail and/or email and Band Leader and each member of the winning Band will be required to complete a Confidentiality Agreement, an Affidavit of Eligibility, Liability and Publicity Release (unless prohibited by law) and any other documents required by Sponsor, which must be returned within five (5) days of the date appearing on the prize notification.  If any Band member fails to execute and submit all such documents required by Sponsor, the whole Band will be disqualified and a runner up Band may be selected.  Return of prize or prize notification as undeliverable, failure to sign and return requested documentation within the specified time period, the inability of Sponsor to contact the Band Leader within a reasonable time period or noncompliance with these Official Rules by the Band or any of its members may result in disqualification of the whole Band and, at Sponsor’s sole discretion, the prize may be awarded to a runner-up.  If any member of the winning Band is an eligible minor in his/her jurisdiction of residence, Sponsor reserves the right to award the prize in the name of his/her parent or legal guardian who will be responsible for fulfilling all requirements imposed on winners set forth herein, including the execution of any and all necessary documents requested by Sponsor.  Winning Bands must be available for press as it relates to their performance at the request of Sponsor and its designated agency.

8.    PRIZE. Grand Prize (2):  The opportunity to perform a set of original songs of up to 15 (fifteen) minutes (actual set time subject to Sponsor’s sole discretion) as an opening act for Kenny Loggins & Blue Sky Riders at one (1) of their two (2) Listening Parties for Sponsor’s new album and a meet and greet with Kenny Loggins & Blue Sky Riders.  One Listening Party will take place in southern California and one Listening Party will take place in Nashville, Tennessee. Choice of location for each winning Band is at the sole discretion of Sponsor.  Grand Prize will include a trip for the official winning Band to perform at one (1) of the Listening Parties, dates and time will be determined solely by Sponsor.  Trip consists of (a) roundtrip, coach class air transportation from a major U.S. gateway airport nearest Band Leader’s residence within the 48 contiguous United States to one of the two (2) Listening Parties’ locations; (b) roundtrip ground transportation of Sponsor’s choice between the hotel, the Listening Party and destination airport; (c) two (2) nights standard hotel accommodations of Sponsor’s choice (1 room for a solo Band or Band with 2 members and 2 rooms for a Band with 3 or 4 members); and (d) the opportunity to serve as an opening act for Kenny Loggins & Blue Sky Riders at the Listening Party in Nashville, Tennessee or southern California.
Band will be responsible for the transportation and setting up of its own instruments, sound equipment, and anything else necessary for their performance at the Listening Party.  Sound check and production will be provided by Kenny Loggins & Blue Sky Riders, as determined in their sole discretion.

If any member of the Band resides within a 100-mile radius of the Sponsor-chosen Listening Party, ground transportation will be provided in lieu of air transportation and no compensation or substitution will be provided in lieu thereof.  Trip must be taken on dates specified by Sponsor or prize will be forfeited in its entirety and Sponsor will have no further obligation to such Band.  Sponsor reserves the right to change dates.  Band members must travel together on the same itinerary.  All Band members (and if a minor in their state of residence, the Band member’s parent or legal guardian) must sign a liability/publicity release prior to issuance of travel documents. Travel must be made through Sponsor’s agent, on a carrier of Sponsor’s choice.  Certain blackout dates and times and travel restrictions apply.  Winners may not substitute, assign or transfer prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value.  Winners are responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided. If Entry is submitted by a Band composed of more than one individual, all taxes are the sole responsibility of each Band member.
Approximate Retail Value (“ARV”) for each member of the Band who wins the prize: Five Hundred Dollars ($500.00) USD.  Actual value of prize may vary based on point of departure.  Any difference between stated value and actual value will not be awarded.

If any event, meet and greet or Listening party (or any portion thereof) is canceled or postponed for any reason, balance of prize will be awarded in full satisfaction of prize award.

9.    GENERAL CONDITIONS.  By participating, each Band member agrees: (a) to abide by these Official Rules and decisions of Sponsor and judges, which shall be final and binding in all respects relating to this Contest; (b) to release, discharge and hold harmless Sponsor, Sonicbids Corporation and each of their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of any awarded prize (including any travel/activity related thereto); and (c) to the use of the Band name and the name of each Band member’s names, voice, performance, photograph/video, image and/or likeness for Sponsor’s programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsor and its designees, without compensation (unless prohibited by law) or additional consents from the Band or any individual of the Band or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so.  Each member of the Band agrees not to release any publicity or other materials on their own or through someone else regarding their participation in the Contest without the prior written consent of the Sponsor, which it may withhold in its sole discretion.  By participating, Entrant also acknowledges that Sonicbids has its own guidelines that govern activities on its application and that he/she agrees abide by such guidelines. Entries received from any Band or email address in excess of the limitation will be void.  All Entries become the sole property of the Sponsor and will not be returned.  In the case of a dispute as to who submitted the Entry, the Entry will be deemed to have been submitted by the authorized account holder of the e-mail address from which the Entry was submitted. The “authorized email account holder” is deemed as the natural person who is assigned to an e-mail address by an internet access provider, service provider or other organization that is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address.  Sponsor’s computer will be the official time clock for the Contest.  Sponsor is not responsible for lost, late, or incomplete entries, entries not uploaded in accordance with the instructions or entries not received for any reason.

10.    USE OF ENTRIES.  By submitting an Entry, Entrants irrevocably grant Sponsor the royalty-free right throughout the world to publish and display the Entrant’s names, bio, photos, likeness, Entry information and submissions, Band name, the Video, in whole or in part, as originally submitted or edited by Sponsor, with or without Band’s name and/or names of the Band members, in any type of media (now known or hereinafter developed) for use in the advertising and promotion of the Contest, Sponsor, Website and/or Sponsor’s products and/or services without further permission, review, approval, consideration or payment to the Entrant in perpetuity, except where prohibited by law.  Entrants agree to sign any documents that may be necessary to affect these licensing rights.

11.    SIMILAR OR RELATED SONG IDEAS, WORDS, OR MUSIC. Entrants acknowledge that by entering this Contest, Sponsor does not waive any rights to use similar or related song ideas, words or music previously known to Sponsor, or developed by its band members, employees, agencies or otherwise or obtained from sources other than Entrant.

12.    PRIVACY POLICY.  The personal information submitted by the Band Leader will be subject to the privacy policy at www.sonicbids.com.

13.    MISCELLANEOUS. Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled Entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), Website, Contest Site, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of Entries, the announcement of the prizes, the incorrect uploading of the Video or in any Contest-related materials.  Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest.  Released Parties are not responsible for injury or damage to any person and/or person’s computer related to or resulting from participating in this Contest or downloading materials from or use of the Website or Contest Site.  Persons who tamper with or abuse any aspect of the Contest, the Website or Contest Site, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void.  Should any portion of the Contest be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of Entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Contest and, if terminated, at its discretion, select the potential winner from all eligible, non-suspect Entries received prior to action taken using the judging procedure outlined above.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR CONTEST SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.  WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE WEBSITE AND CONTEST SITE AND CONTEST SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.  SOME JURISDICTIONS MAY NOT ALLOW LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.  CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

14.    APPLICABLE LAW. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of participants or Sponsor in connection with the Contest shall be governed by and construed in accordance with the internal laws of the state of Tennessee, USA without giving effect to any choice of law of conflict of law rules or provisions that would cause the application of any other state or provincial laws.  Claims may not be resolved through any form of class action.  Venue for all suits will be in federal or state courts located in Nashville, TN, USA
